PantryBee Terms of Service

These terms govern your use of the GroceryBee applications, the PantryBee website, and the backend services operated by PantryBee, LLC ("we," "us," "our").

If you bought a GroceryBee device, the terms covering that purchase — sale, shipping, returns, and warranty — are in a separate document, the Terms of Sale and Limited Warranty. These terms cover the software and the service.


1. Agreement

By creating an account or using the Services, you agree to these terms. If you do not agree, do not use the Services.

These terms apply no matter where you bought your Device. Whether you bought a GroceryBee from us, from Amazon, from another retailer, or received it as a gift, you accept these terms when you create a PantryBee account — not at the moment of purchase. If you decline these terms after buying a Device, that is a matter for your seller under their return policy, and you still own the hardware.

You must be at least 13 years old to create an account. If you are under 18, you may use the Services only with the involvement of a parent or guardian.

These terms are for personal and household use. Commercial, business, or organizational deployments — including workplace, stockroom, or inventory management use — require separate terms. Contact us at contact@pantrybee.buzz.


2. Definitions

Terms defined in our Privacy Policy — PantryBee, LLC, PantryBee, GroceryBee, Device, Firmware, App, Site, Services, and Household — carry the same meaning here.


3. Your account

You are responsible for keeping your credentials secure and for activity under your account. Notify us at contact@pantrybee.buzz if you believe your account has been compromised.

Provide accurate information and keep your email address current — it is how we reach you about security and service matters.

You may delete your account at any time from the App. Deletion is described in § 14 of the Privacy Policy.

Our mailing list is separate from your account. Joining it does not create an account, and buying a GroceryBee does not join you to it. You can be on one without the other, and leaving either does not affect the other.


4. Households

A Household is a shared list. The person who creates it is the administrator.

The administrator can invite and remove members, edit or remove display names, and see all list and scan activity in the Household.

Every member should understand that their activity is visible to the rest of the Household. See § 5 of the Privacy Policy.

You are responsible for who you add. Do not add someone else's name or information without their knowledge.

If you are in a Household you did not create and want your information removed, ask your administrator, or email us and we will handle it directly.


5. Devices

You own your GroceryBee. Buying one transfers ownership of the hardware to you outright.

To use a Device with our Services you must activate it, which binds it to your Household. A Device can be bound to one Household at a time.

Transferring a Device. Reset the Device before transferring it (hold the settings button for 10 seconds and release). This clears your Wi-Fi credentials and stored data and releases it for the next owner. A GroceryBee can be activated by a new owner without our involvement or approval. We do not maintain any list of devices that are permitted or forbidden to be re-registered.


6. Firmware license

We grant you a perpetual, non-exclusive, worldwide license to use the Firmware installed on your Device, and to install updates we make available.

The Firmware is licensed rather than sold, and we retain ownership of it. Your license runs with the Device: if you sell or give it away, the license goes with it.

Except as § 7 provides, you may not redistribute the Firmware as a standalone work or sublicense it apart from the Device.

Open source components. The Firmware includes open source software. Those components are governed by their own licenses, which take precedence over this section, and nothing here limits the rights those licenses grant you. See Open Source Attributions.


7. Your right to modify the Device

The GroceryBee ships with an unlocked bootloader and we intend to keep it that way. You own the hardware, and we think that should mean something.

You may:

  • Install your own software on your Device.
  • Reverse engineer the Firmware for interoperability, security research, or your own curiosity, notwithstanding any general prohibition elsewhere in these terms.
  • Repair or modify the Device, using parts and services from anyone.
  • Sell or give away your Device.

Two consequences, which are limitations rather than conditions:

  1. Modified firmware is unsupported and unwarranted. See § 4 of the Terms of Sale and Limited Warranty. Our warranty is not voided by the fact that you modified the Device — only damage or defects caused by the modification fall outside it.
  2. Our privacy statements do not describe modified firmware. See § 11 of the Privacy Policy.

We may decline to connect a Device running non-standard firmware to our backend if it is malfunctioning in a way that affects the Services for others, but we will not do so merely because the firmware is modified.


8. Security research

We welcome good-faith security research and we will not pursue legal action against researchers who follow our Security Policy.

Specifically, we will not bring or support a claim under the Computer Fraud and Abuse Act, the DMCA, or any state equivalent against a researcher who accesses only their own account and their own Devices, avoids privacy violations and service degradation, and gives us reasonable time to fix an issue before disclosing it.


9. Acceptable use

Do not:

  • Use the Services unlawfully, or to infringe anyone's rights.
  • Access accounts, Households, or Devices that are not yours.
  • Interfere with, overload, or disrupt the Services.
  • Resell or commercially redistribute access to the backend without our agreement.
  • Upload malicious code, or use the Services to harass anyone.

Automated or high-volume access to our API outside normal product use requires our agreement. Ask — we are generally receptive.

Published content. If you publish item definitions (§ 11), do not publish anything unlawful, infringing, deceptive, or offensive, and do not impersonate another producer or brand. Do not publish ingredient or allergen information you have not verified yourself.

We may unpublish any definition, and may suspend publishing for an account, where content breaches this section or where we receive a credible report. We will tell you when we do and why, unless the law prevents it. To report a published definition, email contact@pantrybee.buzz.

Technical limits. We may set and enforce rate limits, request quotas, storage limits, and other technical restrictions, and may apply them to individual accounts, Devices, or Households. We may change them at any time and without notice. Throttling is not termination — your account and your data remain intact, and normal use is unaffected. We use these limits to keep the Services running for everyone, not to ration ordinary use.


10. Service availability, and what happens without it

We provide the Services on an ongoing basis and try to keep them running, but we do not guarantee uninterrupted availability. We may modify or discontinue features.

What no subscription is required for. The core functions of PantryBee — scanning items, maintaining your shopping list, and syncing between Household members — are available without any recurring payment.

We commit to keeping those core functions available without a subscription for anyone who owns a GroceryBee purchased before a subscription is introduced. Any functionality that is generally available without payment as of the effective date is also included, whether or not it is named above. Features that are offered as paid features from the outset are not included, and may remain paid.

Optional features beyond the core functions may be offered as paid tiers. We will not take a feature that has been generally available for free and place it behind a paywall. New paid features are launched as paid features.

This commitment concerns pricing and product tiers. It is a promise that we will not put existing functionality behind a paywall. It does not limit our ability to enforce technical limits under § 9, or to suspend or terminate an individual account under § 17.

Future paid features. We may introduce optional subscription features. Any subscription will be additive, disclosed before purchase, and clearly priced. Auto-renewal terms and cancellation will comply with applicable state law, and you will be able to cancel through the same channel you used to subscribe.

Technical support life of the Device. The GroceryBee is built on general-purpose hardware, and hardware has a finite service life. Over time, security standards change — certificate authorities expire, encryption protocols are deprecated, and components reach the end of their manufacturer support. At some point a Device may no longer be able to connect to a modern server, and no software update from us can change that.

We will provide security and compatibility updates for as long as it is reasonably practical to do so, and we will tell you when we can no longer do so for a given Device.

Three things we have built in so that end is not the end of your hardware: the bootloader is unlocked, so you can install your own software; the server address is configurable, so you can point the Device at a server you control; and the commitment below means the protocol will be documented.

If we shut down the Services. If we discontinue the backend, we will:

  • give at least 90 days' notice to active users;
  • provide an export of your data in a portable format; and
  • publish the backend protocol specification in enough detail for a third party to implement a replacement server.

Because your Device's server address is configurable and its bootloader is unlocked, a documented protocol means your hardware outlives our company. That is the intent.


11. Your content

You keep ownership of everything you put into the Services — your lists, items, names, and notes.

You grant us a license to host, store, transmit, and display that content solely to operate the Services for you. This license ends when you delete the content or your account — except for item definitions you have published, which are covered below. We claim no other rights and will not use your content for any other purpose.

Published item definitions. The Services may let you publish an item definition — for example, a label for something you made — so that other PantryBee users who scan your code can see what it is. Publishing is opt-in and per-item. Nothing is published unless you choose to publish it.

For each definition you publish, you grant us an additional license to reproduce, distribute, and display that definition to other users, for as long as it is published. This license covers only the specific definitions you publish and only the fields shown to you before publishing — never your inventory, quantities, locations, notes, scan history, or account information.

Copies other people have saved are theirs. Once another household adds your published definition to their own catalog, that copy is their data. Unpublishing does not remove it, in the same way that deleting a recipe you emailed does not delete the copy someone printed.

Published definitions can outlive your account. People may be holding jars with your labels for years. If your definitions vanished when you closed your account, their codes would stop meaning anything.

So when you delete your account, definitions you have published remain resolvable, with your source block removed — your seller name, website, email, phone, and location are deleted; the item name, dates, and description remain.

You control this:

  • Unpublish individual definitions at any time before deleting your account.
  • Ask us to unpublish everything when you delete your account, and we will. Anyone holding a label will simply be prompted to name the item themselves.

Note that if you put your own name in the item name — "Bob's Strawberry Jam" — that stays, because it is the identity of the item rather than a contact detail.


12. Our intellectual property

The Services, the App, the Site, the Firmware, and the PantryBee and GroceryBee names and logos are owned by PantryBee, LLC. These terms grant you no rights to them except as expressly stated in §§ 6 and 7.


13. Disclaimers

Read this one, it is not decoration.

Not every barcode will be recognized.

GroceryBee reads the barcode. Turning that number into a product name depends on third-party product databases, and those databases are incomplete. Store brands, regional products, newly launched items, and anything sold mainly outside the United States are often missing. Some barcodes are not national product codes at all — the weight-embedded labels supermarkets print for deli, meat, and produce identify an item only within that retailer's own system.

When we cannot identify something, you can name it yourself, and we will remember it for your Household. But we do not promise that any particular product will be recognized, and the databases we rely on may change what they contain at any time.

PantryBee is a shopping and inventory tool. It is not a food safety system.

Expiration dates, freshness estimates, and shelf-life information in the Services come from product databases, your own entries, and general reference data. They may be wrong, out of date, or inapplicable to how an item has actually been stored.

Do not rely on PantryBee to decide whether food is safe to eat. Check the physical package. Use your judgment.

Do not rely on PantryBee for allergen information. Product formulations change, databases lag, and barcode data is frequently incomplete or wrong. If you or anyone in your household has a food allergy, read the actual package every time. We disclaim all responsibility for allergen information in the Services.

This applies with particular force to content published by other users. Item definitions published by other people — including ingredient lists, allergen statements, and production dates — are supplied by whoever published them. PantryBee, LLC does not verify them, does not check them, and makes no representation that they are accurate or complete. Treat a published definition as a label written by a stranger, because that is what it is.

Except as expressly stated in the Terms of Sale and Limited Warranty and except as limited by § 15, the Services are provided "as is" and "as available," without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


14. Limitation of liability

To the maximum extent permitted by law, PantryBee, LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption.

Our total liability for any claim relating to the Services is limited to the greater of the amount you paid us in the 12 months before the claim, or $100.


15. Exceptions that apply regardless

Nothing in §§ 13 or 14 limits liability for:

  • death or personal injury;
  • fraud or fraudulent misrepresentation;
  • gross negligence or willful misconduct; or
  • anything else that cannot be limited under applicable law.

Some states do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so parts of §§ 13 and 14 may not apply to you. You may have rights under your state's law that these terms do not affect, and nothing here waives them.


16. Indemnity

You agree to indemnify PantryBee, LLC against claims arising from your misuse of the Services, your violation of these terms, or your violation of someone else's rights. This does not apply to claims arising from our own conduct.


17. Suspension and termination

You may stop using the Services and delete your account at any time, for any reason.

17.1 Termination for cause

We may suspend or terminate your account, your Household, or any Device immediately and without advance notice if:

  • you materially breach these terms, including § 9;
  • your use threatens the security, integrity, or availability of the Services, or degrades them for other users;
  • your use is unlawful, fraudulent, or infringes someone else's rights;
  • you attempt to circumvent technical limits, authentication, or the Device activation process;
  • we are required to act by law or legal process; or
  • your account has been inactive for more than 24 months and we have given you 30 days' notice by email.

Where the circumstances allow it, we will tell you what the problem is and give you a chance to fix it. Where they do not, we may act first and explain afterward.

17.2 Termination without cause

We may also suspend or terminate your account for any other reason, or for no reason at all. We do not expect to use this and we do not intend to, but we reserve it.

If we terminate your account under this § 17.2 — that is, for a reason other than those listed in § 17.1 — then we will:

  • give you at least 30 days' notice by email;
  • provide an export of your data in a portable format on request; and
  • refund the purchase price of any Device registered to your account, on proof of purchase, whether you bought it from us or from a retailer.

The refund in this section is your sole remedy for a termination without cause. It does not apply to termination under § 17.1, where no refund is due.

17.3 What termination does not affect

You keep your Device. Termination does not affect your ownership of the hardware, your right to run your own software on it, or your right to sell or give it away.

You keep your rights over your data. The access, export, and deletion rights described in the Privacy Policy survive termination of your account.


18. Disputes and governing law

These terms are governed by the laws of the State of New Mexico, without regard to conflict of laws rules.

Informal resolution first. Before filing anything, email contact@pantrybee.buzz and give us 30 days to resolve it. Most problems end here.

If that does not resolve it. Any dispute arising out of these terms or the Services will be brought exclusively in the state or federal courts located in San Juan County, New Mexico, and you and PantryBee, LLC each consent to the jurisdiction of those courts.

There is no arbitration requirement and no class action waiver in these terms. You keep your right to bring a claim in court, including in small claims court where your claim qualifies, and to participate in a class action.


19. Changes to these terms

Administrative updates take effect when posted. These include corrections to our contact details or address, typographical and formatting fixes, and clarifications that do not change your rights or obligations. We note them in the version history below.

Material changes get 30 days' notice by email or in the App. A change is material if it alters your rights or obligations, changes pricing, limits functionality you already have, or narrows any commitment we made in § 7, § 10, or § 15. Continued use after the effective date means you accept the change. If you do not accept it, stop using the Services and delete your account — and you keep your Device and your right to run your own software on it regardless.

We will not apply changes retroactively to disputes that arose before the change.

20. General

  • Entire agreement. These terms, the Privacy Policy, and — for hardware purchases — the Terms of Sale and Limited Warranty are the whole agreement between us.
  • Severability. If a provision is unenforceable, the rest stands.
  • No waiver. Not enforcing a provision does not waive it.
  • Assignment. You may not assign these terms. We may assign them in connection with a merger or sale of assets, on notice to you.
